A recently published Congressional Research Service (CRS) report has highlighted the potential shortcomings of the U.S. Department of Health and Human Services’ (HHS) marijuana rescheduling recommendation. Last year, the HHS published a series of documents recommending that the U. S. Drug Enforcement Administration (DEA) reschedule marijuana to Schedule III of the Controlled Substances Act. HHS officials justified the recommendation on the grounds that cannabis currently has “accepted medical uses” and thus did not meet the conditions required of Schedule I drugs.

Rescheduling cannabis from Schedule I to Schedule III would finally make it legal for doctors to prescribe marijuana at the federal level and would be a major step forward for the country’s medical marijuana industry. However, Congressional researchers argue that the rescheduling recommendation has many shortcomings. The recent report outlined the legal consequences of rescheduling marijuana.

It noted that the country’s state marijuana markets would still be illegal at the federal level and certain cannabis activity-related criminal penalties would remain in place even if cannabis is rescheduled. According to the CRS, approving the rescheduling without any additional legal changes would not make the state legal recreational and medical marijuana industries compliant with the federal Controlled Substances Act.

The report said that while moving cannabis to Schedule III would make it legal for doctors to prescribe it, the U.S. Food and Drug Administration (FDA) would first have to approve cannabis medicines before federal law allows physicians to prescribe cannabis.

Additionally, the manufacturers and distributors of any cannabis products that receive FDA approval would have to register with the DEA and meet regulatory requirements for drugs in Schedule III of the Controlled Substances Act before they can begin handling their respective products. Medical marijuana users would also need to acquire prescriptions from licensed medical providers that will most likely be subject to different federal requirements. The report adds that the rescheduling will only change certain criminal penalties while some marijuana-related penalties would remain unchanged.

On a positive note, the report noted that the rescheduling would finally allow cannabis businesses to deduct their business expenses when they file their federal taxes, something they have been unable to do since the industry’s inception due to federal prohibition. The CRS report also said that regardless of how the rescheduling issue plays out, the Justice Department wouldn’t be able to interfere with state medical cannabis programs, thanks to an appropriations rider renewed annually by Congress since 2012.

As long as the rider remains in place, the report explains, players in America’s state-legal medical cannabis industry will be protected from federal prosecution as long as they comply with state cannabis law.

Despite these shortcomings revealed in the CRS report, cannabis industry actors and ancillary companies such as Innovative Industrial Properties Inc. (NYSE: IIPR) are likely to see the rescheduling of marijuana to Schedule III as a step in the right direction. Other reforms can follow this significant step in due course.

A brutal wildfire in fall 2020 left Strahan grappling with severe suicidal thoughts. According to the professional wildland firefighter, post-traumatic stress disorder, depression and suicide are just as dangerous to him and his colleagues as the fires they fight.

Strahan told the panel that once he accepted the current health system wasn’t helping him, he traveled to a psilocybin retreat in Mexico and finally gained a reprieve from his depression and suicidal thoughts.

Nevada legislators have expressed interest in legalizing psychedelics, but they are taking their time. Last year, they passed a measure that created a working group to study the potential medical use of psychedelic compounds such as psilocybin (magic mushrooms). The group has until the end of 2024 to publish its recommendations, conclusions and findings, which will likely inform psychedelic-based bills in 2025.

Carson Tahoe Hospital neurologist Burton Tabaac also addressed the panel, explaining that based on existing psychedelic research, hallucinogens seem to address mental-health issues by dealing with the underlying issues that caused the illness in the first place. Tabaac observed that, at minimal doses and with few if any side effects, psychedelics can repair engrained neural pathways and allow for the creation of new connections, making it possible for people to break free from mental disorders that have plagued them for years.

Diane Goldstein, a retired police lieutenant and current executive director of the Law Enforcement Action Partnership, noted that psychedelic-based research was being conducted more than half a century ago before the war on drugs wrongly classified psychedelics as Schedule I substances.

This is despite the fact that in the last few decades, mining for cobalt for smartphones, lithium for electric vehicle batteries and neodymium for wind turbines has grown exponentially.

The extent to which mining is causing loss of biodiversity; deforestation; soil, water and air pollution; community displacement; loss of livelihoods and land; and human health hazards, remains unknown as a result.

In a statement, Maus explained that independent studies were needed to shed light on the extent of risks created by mining and their effects on communities as well as the environment in different parts of the world. The researchers believe that the scarcity of mining data is the result of several thing, including illegal, informal or disused mining sites as well as limited reporting by companies.

This lack of data, they argue, means that nearly one-half of mining impacts globally haven’t been documented. To address this issue, Werner and Maus suggested measures that could be taken. The measures include the following:

  • Improving data sharing and gathering practices among researchers
  • Acknowledging and addressing how underestimating mining risks may impact parties globally
  • Using advanced techniques such as AI and remote sensing to fill data gaps
  • Improving corporate transparency in the mining sector.

In their report, the authors stated that the scale and urgency of this issue couldn’t be overstated. They add that with the demand for minerals expected to increase significantly in the coming decades, particularly for clean-energy technologies, transparent and comprehensive data on the impact of mining is necessary. Hybrid electric vehicles may be the key to accelerating the transition from internal combustion engine (ICE) cars to clean-energy vehicles over the next few decades. Although Tesla introduced the first mass-market electric vehicle more than 15 years ago, electric vehicles still make up a small portion of total vehicle sales more than a decade and a half later.

The idea behind electric cars is noble enough: replace fossil-fuel-hungry internal combustion engines with electric motors to eliminate tailpipe emissions by nearly 100%. However, high prices and range anxiety have consistently hindered EV adoption through the years and forced carmakers to rethink their electrification plans.

Established automakers such as Ford and GM are looking at billions of dollars in losses after electric vehicle demand slowed significantly in 2023. For some automakers, this new challenge presents an opportunity to pivot from purely battery electric vehicles (BEVs) to hybrids.

If electric vehicles and conventional fossil fuel cars exist on two ends of a spectrum, hybrids would fall squarely in the middle. Toyota was the first carmaker to debut a mainstream hybrid vehicle, the Toyota Prius, more than two decades ago, and the model is the most successful hybrid of all time.

South Dakota’s Assembly has passed two bills highlighting that those who use medical cannabis may be prevented from legally possessing firearms under federal law. The legislation includes adding policy notices in cannabis dispensaries and on patient applications. Failure to comply with these standards may result in daily fines for dispensaries.

The first measure, relating to marijuana patients’ applications, received resounding support with a 68 to 1 vote, while the second one, concerning dispensaries, faced a more divided vote, passing 42 to 27.

According to the legislation, medical marijuana dispensaries in South Dakota must display a warning sign stating that federal law forbids firearm possession for persons addicted to or using cannabis. The measure allows suspension if the attorney general certifies that federal law no longer prohibits firearm possession for such individuals.

Representative Kevin Jensen sponsored both bills, noting his vast background as a gun trainer and dealer. He stated that many people are unaware that this specific federal statute even exists.

Some industry players argue that the law requiring dispensaries to display notices of the statute at entrances and every point of sale brings an unwarranted burden on the operators. In response to these worries, Jensen stated that dispensaries wouldn’t have to pay more as a result of the regulation. He also noted that the $250 daily fine for noncompliance is only one-half of the cost that federal authorities impose on retailers that neglect to post notices on tobacco products.

Additionally, Jensen stated that the state’s health department would be in charge of implementing the rule and gathering fines as part of their regular inspections.

The U.S. Department of Justice (DOJ) has continuously argued in federal courts that the ban on firearms for marijuana users is necessary because possession presents a special risk, similar to the situation where people with severe mental illnesses aren’t permitted to possess firearms. The DOJ justified the prohibition by citing historical precedence and claiming that cannabis users pose a threat to society since they would likely store their weapons improperly.

Despite the federal government’s view, certain federal courts have ruled that the marijuana-related firearm restriction is unlawful, prompting the DOJ to file an ongoing appeal.

A 2019 FBI memo came to light, suggesting that the federal authorities do not usually view the possession of firearms by medicinal cannabis producers and caregivers as a legal crime.

In the broader context of gun and marijuana policy, GOP congressional legislators have introduced two bills this session aiming to address the intersection of gun ownership and cannabis use.

The proposed reforms in South Dakota are still a developing story, and major cannabis companies such as Green Thumb Industries Inc. (CSE: GTII) (OTCQX: GTBIF) operating in more established markets are unlikely to give the legislation much thought until the final law takes shape and its ramifications on the broader industry are assessed.

  • RENB-HV01 – Caring Cross, a non-profit corporation, has shown that its proprietary CAR-T cells cure HIV in a mouse model. Studies in humans have begun. Renovaro has entered into a profit-sharing sublicense with Caring Cross and would share in profits if the product is commercialized.
  • RENB-HB01 – This therapeutic approach aims to eliminate all HBV rapidly (“seek and kill”) with a two to three dose treatment regimen. Arizona Metals Corp. (TSX: AMC) (OTCQX: AZMCF) is a mineral exploration company engaged in advancing precious and base metal deposits in the state of Arizona. Its flagship copper-gold-zinc-silver asset is the Kay Mine Project, located in Yavapai County. The company also owns Sugarloaf Peak gold project in La Paz County.

Significant data compilation, re-drilling and data verification may be required by a “qualified person” (as defined in National Instrument 43-101 – Standards of Disclosure for Mineral Projects) before the historic estimate can be verified and upgraded to be a current mineral resource. A qualified person has not done sufficient work to classify it as a current mineral resource, and Arizona Metals is not treating the historic estimate as a current mineral resource.

The company also owns 100% of the Sugarloaf Peak Property in La Paz County, which is located on 4,400 acres of BLM claims. The health care portion of the e-commerce market is generating particularly bullish forecasts, bolstered by the continued adoption of the 340B Drug Pricing Program in the U.S., which requires most drug manufacturers to provide outpatient drugs to covered entities at significantly reduced prices. Industry reports suggest that the global health care e-commerce market will expand at a compound annual growth rate of 16.8% from 2022 to 2030, climbing to a value of more than $1.37 trillion by the end of the forecast period.

The company uses its experience to develop, acquire and drill assets with potential for primary and secondary recovery.

Prospera is primarily focused on optimizing hydrocarbon recovery from legacy fields through environmentally safe and efficient reservoir development methods and production practices. It is in the midst of a three-stage restructuring process aimed at prioritizing cost effective operations while appreciating production capacity and reducing liabilities.

The company is based in Calgary, Alberta, Canada.

Operations

Prospera’s core properties include more than 42,000 cumulative acres across Cuthbert, Luseland and Heart Hills in Saskatchewan and Red Earth and Pouce Coupe in Alberta. In total, the company estimates that there are half a billion barrels of oil in place at these sites accounting for 20+ years of forward project lifespan, with as little as 8% of total reserves having been recovered via legacy vertical well technology.

Restructuring Initiative

In 2021, Prospera enacted a top-down reorganization. The early results of these efforts were on display in May 2023, when the company reported a three-fold year-over-year increase in annual revenue for 2022 alongside drastically reduced operating costs and record-high cash flow from operations.

Prospera noted in the news release that it has positioned itself in 2023 to execute the second phase of its development plan aimed at increasing production through medium-oil development in Alberta and leveraging horizontal wells to capture the significant remaining reserves in Saskatchewan.

During the company’s investor summit in August 2023, Prospera CEO Samuel David provided more information regarding this three-phase strategy:

Phase I

Prospera completed the first phase of its restructuring by optimizing operations at its existing assets and addressing legacy arrears and non-compliance issues.

At the beginning of this transformation, the company was producing just 80 barrels of oil equivalent (BOE) per day. In Q4 of last year, Prospera peaked at nearly 1,200 BOE per day. Its breakeven is around 500 barrels per day, illustrating the opportunity for free cash flow. This prospect has driven Prospera’s capital development and optimization in recent quarters.

After a temporary slowdown in production due to harsh winter conditions, Prospera is currently producing about 800 BOE per day and anticipates an additional 300-500 barrels of daily production following the completion of ongoing site maintenance work.

This sustained increase has pushed the company’s NPV from roughly $3 million prior to the restructuring efforts to approximately $72 million today.

In an effort to build on this progress and maximize its available resources, Prospera piloted two horizontal reentries to assess a potential horizontal well transformation at its properties.

Phase II

Following up on the optimization efforts of Phase I, Prospera aims to commence a horizontal well transformation at its properties in the coming months. Based on its pilot wells from Phase I, the company has proposed 10 horizontal well locations at its Cuthbert and Heart Hills properties.

Prospera has likewise proposed eight medium light oil direction wells at its Alberta property, and it is exploring strategic acquisitions aimed at expanding its core area and diversifying its product mix.

Other facets of Phase II include piloting an enhanced oil recovery (EOR) application and continuing to execute its liability management goals and ESG initiatives. Prospera has already abandoned 60 vertical wells as part of its three-year LMR plan to reclaim surface land and reduce the environmental footprint of its operations.

Phase III

Beginning next year, Phase III of Prospera’s corporate redevelopment strategy will focus on continuing the company’s horizontal modular development to appreciate production and optimize recovery of remaining reserves. Prospera intends to implement full-scale EOR applications based on the results of its Phase II pilot program, which is forecast to optimize recovery by greater than 10%.

Prospera also intends to continue its acquisition strategy to diversify its product mix. Its goal, as detailed by in August 2023 investor summit, is to attain 50% light oil, 40% heavy oil and 10% gas – all while continuing to eliminate carbon emissions as part of its existing ESG initiatives.

Poised for Growth

Following its transformational efforts in 2022, Prospera is poised to achieve record growth in 2023. The company has forecast significant reductions in production costs through 2024, alongside sizable increases in daily production.

Prospera is currently exploring strategic acquisition targets to potentially increase its production beyond 5,000 BPD while expanding its reserve base to a billion barrels.

Market Opportunity

While the oil and gas industry faces long-term geopolitical and macroeconomic uncertainty, there is a clear trend to secure supply in the short term. According to Deloitte, the global upstream industry ended 2022 with some of the highest free cash flows on record, driving reinvestment in hydrocarbons and overall investment in clean energy.

The Energy Information Administration recently forecast a dip in global oil inventories over each of the next five quarters, placing upward pressure on oil prices. The agency further forecasts a YoY increase in fuel consumption, exacerbating the effects of OPEC+ production cuts that are set to remain in place through 2024.

For Prospera, these forecasts are promising. The company aims to build on its recent financial growth in the coming months (Prospera reported a three-fold YoY increase in revenue to $13.9 million in 2022), hitting a projected $57 million in total revenue by the end of 2024 while working to expand its core area holdings through accretive M&A transactions.

Leadership Team

Prospera is led by a team with extensive, diverse petroleum industry experience spanning both reservoir management and operations of oil and gas assets. The team boasts a proven track record of reorganizing companies, structuring financing arrangements and positioning for growth.

Samuel David is the company’s President and CEO. He brings to Prospera over 32 years of experience in operation, development and management of oil and gas assets and companies. Mr. David holds a B.Sc. in Mechanical Engineering and a B.A. in Economics from the University of Calgary. He has held roles of increasing responsibility, from exploration geologist at oil industry major Petro-Canada and intermediates Anderson Exploration and Jordan Petroleum, to geoscience manager and VP exploration at junior companies Ionic Energy, Gentry Resources and Westfire Energy.

Chris Ludtke is the company’s VP Finance & Accounting. He is a high functioning finance leader with extensive expertise in finance, budgets and planning, accounting, economic evaluation, management, governance and sound decision making.
