Coinbase responded to the Financial Times article, stating that it left out important context relating to the exchange’s interactions with the SEC. According to the exchange, the article implied, whether on purpose or accident, that Coinbase was required by the SEC to terminate all crypto trading except for Bitcoin. The SEC’s enforcement division did not formally request that businesses delist crypto assets, as it was mentioned by the U.S. SEC itself later in the article.

Coinbase went on to say that while the opinions expressed in the FT piece may have been those of individual SEC staff members at the time, they did not necessarily reflect those of the commission as a whole. Armstrong reportedly revealed to FT that the SEC made the suggestion before taking legal action against the NASDAQ-listed company last month for failing to register as a broker, according to the story.

On June 6, 2023, the SEC filed a complaint against Coinbase, stating that it had violated federal securities laws by acting as a broker, an exchange and a clearinghouse for unregistered securities, notably 13 various cryptocurrencies but not Bitcoin. In response, Coinbase claimed that the SEC’s move was against the law and an abuse of discretion.

While Ripple won a court battle against the SEC, proving that its XRP coin is not a security, Coinbase and the SEC are still embroiled in a legal struggle. For the past several years, Toyota has been the only major automaker that has made few investments in battery electric vehicles (BEVs). Several other established automakers have long announced their intent to electrify their lineups, with companies such as Ford and Mercedes Benz already developing and releasing BEVs into the market.

BYD, for instance, has accelerated its rate of electrification to such a degree that it is now outselling Tesla, the largest EV maker on the globe, in the Chinese market. BYD electric vehicle sales increased by nearly 69% in Q1 2023, increasing the automaker’s share of the overall car market to 11% and beating out major companies such as Toyota and Volkswagen.

For Toyota to remain competitive against local automakers such as BYD which sell both gas-powered cars and electric vehicles, it will have to develop a lineup of EVs for the Chinese market. Tatsuro Ueda, Toyota’s chief executive officer for the China region, said that China’s electric vehicle market is expanding at an “unprecedented pace.”

Consumers in this market are especially drawn to electric vehicles that are designed to meet consumer needs, such as small lightweight EVs with leasing and battery-swapping capabilities. Companies that specifically address these needs such as Wuling Motors will likely have an easier time attracting and retaining consumers to their brands.

Toyota has pledged to invest in building up its electric vehicle production capacity in China over the next decade. This includes rebranding its largest Chinese research and development facility and transferring engineers from other research facilities to the one in China to spearhead the company’s electrification efforts. The Japanese company will also focus on strengthening the local development of all its alternative energy vehicles to ensure carbon neutrality at every stage of production. In the meantime, Toyota will continue developing both hydrogen fuel cells and hybrid cars.

Research into psychedelics has revealed that the Default Mode Network (DMN), a series of interconnected regions in the brain that are involved in introspection, may play a role in how psychedelics deliver their effects.

Although both these brain regions play a major role in the human experience, playing a critical role in how people understand themselves and others, there have been few if any previous studies on how they may overlap and cooperate. Furthermore, there has been barely any research on how psychedelics affect the interaction of these two regions.

Psychedelic research is a new and incredibly exciting field of study that has the potential to completely upend psychiatry and other fields of the medical industry. Studies have found that psychedelics can treat several hard-to-treat mental disorders such as treatment-resistant depression, eating disorders and post-traumatic stress disorder (PTSD) with few side effects.

The recent study looking into how psychedelics impact the Theory of Mind and Default Mode Networks found something quite interesting. The BA31 and BA23 regions in the cingulate cortex, which houses the ToM and DMN, affect how these two networks overlap and interact. Furthermore, the research also revealed that the cingulate cortex may also be involved in how psychedelics affect interactions between the DMN and ToM.

Researchers discovered that psychedelics and the Default Mode Network seem to affect social cognition regions of the brain and the ToM in a similar way. This interaction with social cognition brain regions and the ToM may be why psychedelics can cause an altered state of consciousness and changes in how one perceives the self.

Additionally, the researchers posit that psychedelics may cause feelings of profound empathy and connectedness by affecting the regions of the brain responsible for emotional processing and social thinking. The researchers also found that the Default Mode Network doesn’t seem to play a specific role in the function of the Theory of Mind Network, indicating that the DMN is more involved in a wider range of social cognition tasks such as facial emotion recognition, emotion attribution and empathy.

The study findings show that psychedelics may be useful in the development of therapies for conditions caused by deficits in Theory of Mind and social cognition such as bipolar disorder, neurodegenerative disorders and autism spectrum disorders.

Around 73 million people in South and Eastern Africa are currently going through acute food insecurity with people in middle and low-income countries suffering the most.

The Food and Agriculture Organization of the United Nations estimates that maize yields in countries such as Zambia were less than half of yields seen in South Africa and one-third of Argentina’s due to increased import costs and limited application. East African nation Kenya saw a 30% drop in fertilizer imports in 2022 followed by a drop in maize production during the 2022–23 period.

With maize yields in the country dropping by 18% in 2022–23 compared to the prior five years, Kenya suffered a significant maize deficit that resulted in significantly higher prices. Poor rains in the previous months also impacted yields and increased food insecurity in the country.

If fertilizer prices remain at current levels for the near-term, food production in Africa will be constrained and the continent will likely be unable to produce enough food to meet domestic demand.

Iska Iska – Potosi, Bolivia

Iska Iska is associated with a Miocene possibly collapsed/resurgent caldera, emplaced on Ordovician age rocks with major breccia pipes, dacitic domes and hydrothermal breccias. The property is wholly controlled by the title holder, Empresa Minera Villegas S.R.L. It is located 48 kilometers north of Tupiza city, in the Sud Chichas Province of the Department of Potosi. This is an important mineral deposit type in the prolific South Mineral Belt of Bolivia. Eloro commissioned a NI 43-101 Technical Report on Iska Iska, which was completed by Micon International Limited and is available on Eloro’s website and under its filings on SEDAR.

A fully financed drill program is currently underway on the property, situated near world-class deposits including Silver Sand, San Bartolomé, Pulacayo, San Cristobal, San Vicente, Chorolque, Tasna, Choroma and Siete Suyos. Iska Iska is in the southwest part of the Eastern Cordillera, which hosts a number of major polymetallic mines and mineral deposits. Drilling and continuous channel sampling results have demonstrated some very high metal values, especially silver and tin, within an immense system, where mineralization has been encountered in every drill hole to date. The company believes there is excellent potential for world-class bulk mineable deposits.

La Victoria – Ancash, Peru

The La Victoria project, targeting gold and silver production, is situated near world-class, low-cost gold producers Pan American Silver and Barrick Gold Corporation. Located in Ancash Department, La Victoria sits on the western slopes of the Peruvian Andes. The property is located 12 hours from Lima, with a travel distance of 600 kilometers. The nearest road accessible population centers from La Victoria are Huandoval, Pallasca and Cabana. The project includes four principal mineralized zones in Peru’s prolific North-Central Mineral Belt – San Markito, Victoria, Victoria South and Ccori Orcco – with excellent potential for gold discovery. Operations at La Victoria are planned to proceed with a 2,000-meter diamond drilling program to test targets to outline potential resources at San Markito. Trenching and sampling confirmed high silver values and veins at San Markito in 2020.

Market Outlook

According to industry association The Silver Institute, the outlook for silver demand is exceptionally promising, with global demand forecast to rise to a record high of 1.112 billion ounces in 2022. The increase will be driven by record silver industrial fabrication, which is forecast to improve by 5%, as silver’s use expands primarily in solar energy and electric vehicle (EV) manufacturing. The institute states that government commitments to carbon neutrality have resulted in a rapid expansion of green energy projects, driving record photovoltaic panel installations which are expected to lift silver demand in this segment to an all-time high in 2022.

Rising demand in the electronics industry is also boosting the demand for tin, which is primarily used in solder. The electronics and electrical industries use solders containing 40-70% tin, which provide strong and reliable joints under a variety of environmental conditions. At present, the majority of the assemblers are using patented tin-and-copper-based solders. Mordor Intelligence estimated tin demand at 387 kilotons in 2021 and forecasts demand growth of 2.5% annually through 2027. Senior Management

Chairman and Chief Executive Officer J. Rodney Varner, JD, is a co-founder of Genprex and has served in these roles since August 2012. He has more than 35 years of legal experience with large and small law firms and as outside general counsel of a Nasdaq-listed company. Varner has served as counsel in company formation, mergers and acquisitions, capital raising, other business transactions, protection of trade secrets and other intellectual property, real estate, and business litigation. He is a member of the State Bar of Texas and has been admitted to practice before the U.S. Court of Appeals for the Fifth Court and the U.S. Tax Court.

Julien L. Pham, M.D., MPH, is president and chief operating officer of Genprex. In March 2013, Dr. Pham co-founded RubiconMD, a healthcare IT company that connects primary care providers to specialists for additional guidance and opinions on medical cases and served as its chief medical officer. He has served on the faculty at Harvard Medical School’s Brigham and Women’s Hospital and is a board-certified internal medicine doctor and nephrologist.

Ryan M. Confer, MS, has served as Genprex chief financial officer since September 2016. Confer has more than 10 years of executive experience in planning, launching, developing, and growing emerging technology companies and has served in the chief operating and chief financial roles for non-profit and for-profit entities since 2008. Confer has also served as an international business development consultant for the University of Texas at Austin’s IC2 Institute, where he focused on evaluating the commercialization potential of nascent technologies in domestic and international markets applicable to technology incubator programs associated with the University. Confer holds a BS in finance and legal studies from Bloomsburg University of Pennsylvania and an MS in technology commercialization from the McCombs School of Business at the University of Texas at Austin.

Jan Stevens, RN, is vice president of Clinical Operations. Stevens has nearly 20 years of comprehensive clinical operations experience in the biopharma industry and a specialization in early-to-late stage oncology companies. Stevens joined the company to help support the various clinical development programs for Oncoprex™.

Ucore Rare Metals Inc. Projects & Technology

RapidSX™ Demonstration Plant

The Kingston, Ontario, RapidSX™ Demonstration Plant commissioning process is underway. Once commissioned, the plant is designed to demonstrate the commercial capabilities of the RapidSX technology platform.

The RapidSX demo plant will show:

  • The techno-economic advantages of the RapidSX technology platform
  • The processing of tens of tons of heavy and light mixed rare earth element concentrates in a simulated production environment
  • The platform’s ability to operate for thousands of semi-continuous run-time hours
  • Production of high-purity NdPr, praseodymium, neodymium, terbium and dysprosium rare earth elements for early OEM product qualification trials

The demo plant is located within Ucore’s 5,000-square-foot RapidSX Commercialization and Demonstration Facility and is run by its laboratory partner, Kingston Process Metallurgy Inc. (“KPM”).

RapidSX™ Technology

Innovation Metals Corp., acquired by the company in 2020, developed the RapidSX separation technology platform with early-stage assistance from the United States Department of Defense, later resulting in the production of commercial-grade, separated rare earth elements at pilot scale.

RapidSX combines the time-proven chemistry of conventional solvent extraction (SX) with a new column-based platform that significantly reduces time to completion and plant footprint, as well as potentially lowering capital and operating costs. SX is the international REE industry’s standard commercial separation technology and is currently used by all REE producers worldwide for bulk commercial separation of both heavy and light REEs.

Utilizing similar chemistry to conventional SX, RapidSX is not a “new” technology, but it represents a significant improvement on the well-established, well-understood, proven conventional SX separation technology preferred by REE producers.

Strategic Metals Complex

Ucore, engineering partner Mech-Chem Associates Inc. and KPM are developing the full-scale engineering for the company’s first Strategic Metals Complex (SMC). The SMC is a planned REE separation and rare earth oxide production plant slated to commence construction in Louisiana in 2023. It is scheduled to initially process 2,000 tons of total rare earth oxides by the end of 2024, increasing to 5,000 tons in 2026.

The company has three initial U.S.-friendly feedstock agreements in place for the Louisiana complex, along with multiple developing offtake agreements. It received a C$16 million+ incentive package offer from Louisiana Economic Development to support construction of the SMC.

Bokan-Dotson Ridge REE Deposit

Ucore has invested over C$35 million to establish and validate the Bokan-Dotson Ridge resource in preparation for mine design and permitting. Initial drilling is complete, and a Preliminary Economic Assessment has been issued. Next steps for the project include a feasibility study, detailed mine design and permit acquisition. The project can be “near shovel ready” for construction in less than 30 months after receipt of the next stage of development funding.

Market Opportunity

According to a report by Grand View Research, the global rare earth elements market was valued at $2.8 billion in 2018 and is forecast to reach a value of $5.6 billion by 2025, achieving a CAGR of 10.4% during the period. Market growth is driven by increasing demand for these elements in the manufacturing of magnets and catalysts for the automotive industry. Rising demand for electric vehicles to reduce CO2 emissions is expected to propel the use of permanent magnets in the production of EV batteries.

China is the major producer and consumer of REEs. To maintain self-sufficiency and to meet future demand, China has been raising the export tariffs on rare earth elements shipped to various countries, including the U.S., Japan, India, Brazil and the European Union. This led to the current supply-demand gap in these countries, as they rely on imports from China.

China reduced the exports of REEs by 72% in the second half of 2010 to preserve its reserves of these elements and continues to export REEs at reduced levels, thereby affecting industries such as automotive, oil and gas, and electronics, which require an ample amount of rare earth elements.

Management Team

Pat Ryan, P.Eng., is Chairman and CEO of Ucore Rare Metals. He began as a director with the company when he developed a heightened interest in critical metals. Before joining Ucore, he founded and led a multimillion-dollar automotive OEM design and lean manufacturing company. His understanding of complex supply chains across international markets has led to a prime positioning as the global auto industry transitions to vehicle electrification. He holds a Bachelor of Engineering degree from Dalhousie University.

Peter Manuel is Vice President and CFO of Ucore. Prior to joining the company, he practiced as a Chartered Accountant for more than 17 years, providing consulting services to companies in a range of industries, with a focus on the financial services and resource sectors. He spent 10 years in England and Ireland providing assurance, strategic planning, corporate finance and other consulting services to a portfolio of both public and private entities. He holds a Bachelor of Commerce Degree from Dalhousie University.

Michael Schrider, MEng, P.E., is Vice President and COO of Ucore. He is a multidisciplinary engineer who has been involved in manufacturing, engineering and managing complex structural and mechanical systems projects since 1989. He was the Founder, President and Chief Engineer of Schrider & Associates and Alton Bay Design, both engineering services firms. He holds a bachelor’s degree in naval architecture and marine engineering from the University of New Orleans and a master’s degree in mining, geological and geophysical engineering from the University of Arizona.

Mark MacDonald is Vice President of Investor Relations at Ucore. He has over 25 years of experience implementing award winning business development and marketing programs at regional and national levels. As Vice President of Sales, he was responsible for Mediapro Communication’s growth as AT&T Canada’s leading B2B sales partner. He subsequently became Atlantic Regional Vice President of AT&T Canada Corp. He holds a Bachelor of Commerce degree from Dalhousie University.
