California workers will soon enjoy official safeguards against discrimination related to their off-duty and off-site marijuana use following a change to the state’s Fair Employment and Housing Act, known as AB 2188, greenlit by Governor Gavin Newsom on Sept. 18, 2022, and set to take effect at the start of 2024.

Under the legislation, employers are barred from refusing employment, penalizing or terminating individuals based on their use of marijuana products outside of working hours.

Despite California’s pioneering move in 1996 to legalize medical cannabis and its subsequent approval of recreational use in 2016, AB 2188 stands out as the state’s inaugural law explicitly extending workplace protections to cannabis users, regardless of the purpose. AB 2188 introduces provisions that render employers unable to hold an applicant’s past cannabis use against them. Crucially, the measure shifts the focus of employment-related drug testing toward identifying impairment during work hours or on the premises, distancing itself from scrutinizing historical marijuana consumption.

Moreover, the new legislation outlaws inquiries into an applicant’s cannabis use history, preventing employers from delving into this aspect during the hiring process. This marks a significant departure from previous norms, where employers retained the right to discipline individuals for off-duty recreational and medical cannabis use.

For instance, if an individual engages in recreational cannabis use during their leisure time over the weekend and arrives at work on Monday, employers cannot penalize them based on their weekend marijuana consumption. AB 2188 heralds a departure from the previous legality of such punitive measures.

However, AB 2188 does carve out exceptions to these protections, allowing employers to regulate cannabis use during working hours. Specifically, the bill stipulates that employees are not permitted to possess, be under the influence of or use marijuana while on the clock. The legislation also emphasizes that its provisions do not impinge upon an employer’s prerogative to maintain a drug- and alcohol-free workplace.

Certain sectors, such as construction and building trades, along with employees or applicants seeking federal jobs requiring clearance from the Defense Department, may still face employment denial or disciplinary actions for marijuana use outside of work.

Anticipating the implementation of these restrictions, employers are urged to review and adjust their antidiscrimination and drug-use policies. Those covered by the legislation intending to conduct cannabis tests must ensure that their testing programs exclusively target psychoactive cannabis components. Employers are further encouraged to stay abreast of any pertinent updates to their policies, particularly concerning criminal background checks.

Last week, Pennsylvania’s governor signed a measure that would allow all licensed medical cannabis grower-processors to sell their products directly to consumers. This came just days after the Senate approved the measure, which had been amended to grant independent dispensaries grower permits.

Under the bill, the state’s health department will establish a process that allows the 10 independent cannabis grower-processors in the state to apply to acquire dispensary permits for direct commerce. In addition to this, the four independent dispensaries in the state can also obtain permits to grow products in-house.

The bill, sponsored by Senator Chris Gebhard, replaces current regulations that prohibit more than five of the twenty-five grower-processor license holders in the state from holding dispensary licenses.

Under the current law, other holders of the grower-processor licenses have to sell their products to licensed dispensaries so that they can, in turn, be sold to patients. This had given some operators dominance over the state’s medical cannabis industry. With these new changes, it is expected that almost $2 million in revenue from permit and application fees will be generated. In the coming years, Pennsylvania should expect to generate roughly $90,000 a year from the same. Part of this revenue will be allocated to the Department of Health to offset administrative costs.

One provision in the resolution will prohibit licensees from permit transfers, which legislators argue will help prevent bigger companies from buying up permits and gaining monopoly over the market.

It is expected that Pennsylvania may soon legalize the recreational use of marijuana, just as other states in the region have done. Last month, voters in the state of Ohio legalized adult-use marijuana following the passage of the Act to Control and Regulate Adult Use Cannabis. The new measure, which went into effect earlier this month, will permit individuals aged 21 and older in the state to legally use and purchase the drug. The copper market has unexpectedly lost the surplus supply it was poised to enjoy for the next few years. Experts had predicted a surplus of the metal through the end of the year and into 2024; that surplus was expected to contribute to additional supply in the coming years. First Quantum Minerals Ltd., one of the largest copper miners on the globe, closed in recent weeks after fierce public protest at the mining company’s renewal followed by a Supreme Court ruling. In addition, operational setbacks have forced other leading miners to cut their production forecasts. This has resulted in the sudden loss of an estimated 600,000 tons of expected copper supply, moving the global market from a comfortable surplus to what some experts would call a deficit.

The copper supply chain could face significant pressure much earlier than anticipated if miners do not increase their production capabilities to reach their previous production output estimates. Although copper prices still haven’t taken a significant hit from the unexpected cut in future supply, any sign of increased demand could result in a tight market.

Panama’s government ordered Canadian miner First Quantum Minerals to cease all operations after weeks of fierce protests and intense political wrangling following the renewal of the company’s concession to operate the $10 billion mine. After the Panama Supreme Court declared the law underpinning First Quantum Minerals’ mining license unconstitutional, the global supply chain lost around 400,000 tons in annual supply.

This was swiftly followed by an announcement from Anglo American Plc that it would cut copper output at its main production center in South America by around 200,000 tons, reducing the world’s annual supply even further. News of the slashed production caused the company’s shares to drop by 19%. Shares may fall even further as the company has said copper production will drop again in 2025.

According to BMO Capital Markets, the copper market now has a small deficit. Goldman Sachs Group sees the supply gap increasing to more than half a million tons while Jefferies predicts a major deficit in 2024.

Copper producers such as Southern Copper Corporation (NYSE: SCCO) could benefit greatly if they maintain or boost their current production levels and shortages manifest in the months ahead.

Automakers also have to build new production plants for electric cars because their existing facilities aren’t equipped to produce electric cars.

For instance, “cobots” would facilitate better collaboration between human workers and robots. Human employee simply record a specific action, but the robot would emulate it, making it much easier to teach robots boring and repetitive tasks.

Vision AI-enabled Autonomous Mobile Robots (ARMS) could also leverage their ability to take information from their surroundings, adapt to the terrain, and move through dynamic and complex indoor and outdoor environments. Such robots would be ideal for transporting parts between production cells in a factory.

ABB managing director Joerg Reger says the company is focused on developing a “flexible automation concept.” He says ABB has already launched a new robot platform with a modular concept, increased payload of up to 350 kg and 22 variants. To date, INM-755 has been evaluated in two Phase 1 clinical trials in healthy volunteers. InMed has filed Clinical Trial Applications in several countries as part of a global Phase 2 clinical trial of INM-755 (cannabinol) cream in epidermolysis bullosa. Responses from the National Competent Authorities and Ethics Committees are expected throughout the summer of 2021.

InMed is also involved in developing INM-088, an ocular CBN formulation being researched for the treatment of glaucoma, the second leading cause of blindness in the developed world. InMed is currently evaluating several formulations to deliver CBN into the eye to address issues of dosing frequency, side effects and treatment penetration. INM-088 is being designed for topical delivery to the eye. This localized delivery results in very little drug being absorbed or migrating into the bloodstream, thus minimizing potential adverse side effects. INM-088 shows promise to reduce intraocular pressure and provide neuroprotection of the eye.

Manufacturing

The limited availability of rare cannabinoids like CBN makes them economically impractical to extract directly from the plant for pharmaceutical use. InMed is developing IntegraSyn, a cannabinoid synthesis manufacturing system to create rare cannabinoids in the lab that are bioidentical to the compounds derived from the cannabis plant. IntegraSyn uses multiple standard pharmaceutical processes and has achieved a cannabinoid yield of 5 grams per liter, surpassing commercial viability and significantly exceeding currently reported industry yields. InMed is now focusing on manufacturing scale-up to larger batch sizes while continuing process optimization, targeting increased cannabinoid yield and further reducing overall cost of goods.

BayMedica Inc. Acquisition

On June 29, 2021, InMed announced it had entered into a non-binding letter of intent to acquire BayMedica Inc., a private company based in Nevada and California that specializes in the manufacture and commercialization of rare cannabinoids.

As noted in the news release, BayMedica is a revenue-stage biotechnology company leveraging its significant expertise in synthetic biology and pharmaceutical chemistry to develop efficient, scalable and proprietary manufacturing approaches to produce high quality, regulatory-compliant rare cannabinoids for consumer applications. BayMedica is currently commercializing the rare cannabinoid CBC (cannabichromene) as a B2B supplier to distributors and manufacturers marketing products in the health and wellness sector. BayMedica is planning additional rare cannabinoid launches for the coming year.

Pursuant to the indicative terms of the LOI, InMed and BayMedica intend to negotiate and enter into a definitive agreement under which InMed would acquire 100% of BayMedica in exchange for 1.6 million InMed common shares to be issued to BayMedica’s equity and convertible debt holders, with any such issued InMed common shares being subject to a six-month contractual hold period.

Market Outlook

There is a rapidly growing demand for rare cannabinoids. However, their low natural concentration makes traditional harvesting of these compounds cost prohibitive. Biosynthesis allows production of rare cannabinoids in the lab that are bioidentical to compounds found in nature, with significantly higher yields which reduce costs. Biosynthesis can produce pharmaceutical-grade, bioidentical, THC-free compounds at a cost that’s 70 to 90 percent less than wholesale prices of naturally harvested rare cannabinoids.

Thousands of legacy brokers, tens of thousands of shippers and hundreds of thousands of carriers still rely on outdated systems to arrange transport, spending hours on the phone negotiating pricing, waiting days to find trucks and drivers, preparing and printing forms, and operating without tracking or visibility. Genprex Inc. Research and Development

Genprex holds a portfolio of 30 issued and two pending patents covering its technologies and targeted molecular therapies. The company’s research and development program is focused on identifying and developing leading-edge gene therapies that can be used alone or in combination with other therapies for treatment of cancer.

Genprex’s initial product candidate is Oncoprex™, an immunogene therapy for the treatment of non-small cell lung cancer (NSCLC). Oncoprex works by interrupting cell signaling pathways that cause replication and proliferation of cancer cells, re-establishes pathways for apoptosis (or programmed cell death) in cancer cells, and modulates the immune response against cancer cells. Oncoprex has also been shown to block mechanisms that create drug resistance.

Preclinical research is being conducted with the goal of developing Oncoprex to be administered with targeted therapies in other solid tumors, and with immunotherapies in NSCLC and other solid tumors. In addition, Genprex has conducted and plans to continue research into other tumor suppressor genes associated with chromosome 3p21.3, as well as other potential applications of the company’s immunogene therapy platform.

Clinical Trials

Genprex is currently conducting the second phase of a phase I/II clinical trial at the University of Texas MD Anderson Cancer Center in Houston. The company plans to expand its clinical program by adding a new clinical study evaluating Oncoprex™ in combination with a checkpoint inhibitor for treatment of Stage IV or recurrent NSCLC. In research presented at the 2017 Annual Meeting of the American Association of Cancer Research in Washington, D.C., Genprex’s collaborators showed that TUSC2 in combination with PD-1 checkpoint inhibition has a significantly greater anti-tumor effect in lung cancer than either agent alone. The research also shows that TUSC2 in combination with PD-1 blockade has synergistic activity in upregulating natural killer (NK) cells, correlating with prolonged survival in mice.

TUSC2 (Tumor Suppressor Candidate 2) is a tumor suppressor gene that is absent or deficient in cancer cells of many different cancer types.

The Market

Genprex technologies seek to bridge a critical gap by combining with targeted therapies and immunotherapies to provide treatments to large patient populations who would otherwise not be candidates for those therapies or who have become resistant to them. Genprex technologies are being developed to overcome genomic limitations which are inherent in targeted therapies and immunotherapies in order to provide new treatment solutions to large cancer populations, such as those with lung cancer.

Each year, more people die of lung cancer than of colon, breast and prostate cancers combined. NSCLC is the most common type of lung cancer, accounting for about 85 percent of all lung cancers, according to the American Cancer Society (“ACS”). Despite radical advances in drug development and novel therapeutic standards, survival for late stage lung cancer has not improved significantly in the past 25 years.

Senior Management

Chairman and Chief Executive Officer J. Rodney Varner, JD, is a co-founder of Genprex and has served in these roles since August 2012. He has more than 35 years of legal experience with large and small law firms and as outside general counsel of a Nasdaq-listed company. Ruby Graphite Project

Located in a mining-friendly jurisdiction in southwest Montana, the Ruby Graphite Deposit is a low cost, rapid re-entry opportunity that produced roughly 2,400 tons of graphite from 1902 to 1948. Reflex Advanced Materials holds mining rights for 755 hectares at the Ruby Graphite Project, with 96 federal lode mining claims. Recent samples assay at 95.8% to 98.4% total carbon.

The site is notable as the only combined U.S. graphite flake and vein graphite source. Vein graphite is ideal for energy storage applications, because it requires fewer steps to achieve purity than synthetic alternatives and is therefore far less environmentally damaging. This is expected to play a key role in the project’s development as demand for electric vehicles continues to surge.

In March 2023, the company announced its submittal of permit applications to the Bureau of Land Management in respect of its exploration of the Ruby Graphite Project. Its initial drill program, expected to take place in the summer of 2023, includes plans for 3,500 total meters of drilling, cored to an average depth of 130 meters. The targets for this drill program have been identified using historical data from original mine operations and data gathered for the initial 43-101 technical report on the project, dated January 31, 2023.

ZigZag Lithium Property

Located in the Thunder Bay Mining Division of Ontario, the ZigZag Lithium Property consists of eight mining claims spanning roughly 2,710 hectares. Mineralization at the property, most notably lithium, is based in pegmatite dikes and concentrated in spodumene crystals, which are consistent throughout the entire unit.

Spodumene is readily observable in outcrops and in drill cores, with crystal sizes ranging from 3-15cm, on average.

Reflex Advanced Materials and American Energy Technologies Company Metallurgical Partnership

Reflex Advanced Materials has entered into a material processing agreement with American Energy Technologies Co., which is based in Arlington Heights, Illinois, to conduct metallurgical testwork with the goal of creating a technical support data package for Reflex’s target customer base, U.S. Federal agencies and qualification programs with hi-tech customers in the battery and battery storage business.

The resulting coated, spherionized, purified graphite (CSPG) material that is expected to be created from the aforementioned tests will be used to provide potential customers of CSPG with samples so that they can begin the material qualification process.

Market Opportunity

Graphite is an ideal battery anode and has dominated the market since the proliferation of lithium-ion batteries. Despite this demand, there is currently no significant production of lithium-ion battery anode material in North America.

Instead, most graphite sold in North America today is sourced from Chinese producers. U.S. President Joe Biden highlighted this sourcing disparity in a 2022 address:

“The United Stated depends on unreliable foreign sources for many of the strategic and critical materials necessary for the clean energy transition – such as lithium, nickel, cobalt, graphite and manganese for large-capacity batteries,” he said. “Demand for such materials is projected to increase exponentially as the world transitions to a clean energy economy.”

The U.S. Department of Energy is in the process of awarding $2.8 billion to expand domestic manufacturing of batteries for electric vehicles and combat this foreign dependency. Reflex Advanced Materials has identified its Ruby Graphite Project as a prime candidate for U.S.-sponsored initiatives due to the rarity and scarcity of natural graphite deposits in the country.

Processing graphite domestically in the U.S. is expected to provide Reflex Advanced Materials a competitive advantage as manufacturers begin to seek out American supply in the face of increased diplomatic tension. This is critical, as a rise in anode demand is expected to fuel a shortage of 8 million tonnes of graphite by 2040. World Bank Group projects 494% growth in total graphite demand by 2050.

Leadership Team

Paul Gorman is the CEO and a Director of Reflex Advanced Materials. He brings to the company over 25 years of experience in junior mining finance, public listings, viability assessment and operational rationalization. For 18 years, Mr. Gorman served as president and managing partner of Riverbank Capital, where he played an instrumental role in raising more than $85 million for small-cap companies. In 2008, he funded Industrial Minerals Inc.
